Terms of Service

1. Overview

This Agreement is a binding contract between LoQal AI Ventures Private Limited (“Company”, “we”, “our”, “us”) and you (“User”, “customer”, “you”, “your”), governing your use of our Services, whether as an individual or a corporate entity.

Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. If you disagree, you must stop using our Services immediately.

2. Eligibility

By using our Services, you represent that you are:

• At least 18 years of age (or legal age of majority in your jurisdiction).
• Legally able to enter binding contracts.
• Not barred under applicable laws (including Indian IT Act, GDPR, or sanctions regulations).
• Authorized to act on behalf of your company, if applicable.

3. Scope of Services

LoQal AI provides:

• AI SaaS & Business OS modules (CRM, POS, analytics, expansion intelligence, campaign automation).
• APIs & Integrations with third-party systems.
• Phygital Products (POS devices, IoT hardware, branded materials).
• Consulting & Training (AI adoption, onboarding, certifications).
• Marketplaces & Networks (vendors, properties, partners, alliances).

Each Service may have additional terms, policies, or agreements.

4. User Conduct

You agree to use Services lawfully, ethically, and responsibly. You will not:

• Violate laws or regulations (local or international).
• Upload, share, or promote:
  • Harmful, abusive, or unlawful content.
  • Malware, phishing, or harmful code..
  • Content infringing intellectual property rights.
  • Spam, fraud, or network abuse.
• Interfere with our infrastructure, APIs, or systems.
• Attempt to bypass restrictions, reverse-engineer, or copy our technology.

5. Intellectual Property

• Company Content (software, code, APIs, dashboards, logos, AI models, training datasets, and trademarks) remains the exclusive property of LoQal AI.
• You receive a limited, non-transferable, non-exclusive license to access Services for business purposes only.
• You may not copy, modify, resell, or exploit our IP without written consent.

6. User Content & Submissions

By submitting content (data, files, feedback, ideas, AI prompts/outputs) you:

• Confirm you have rights to share it.
• Grant LoQal AI a worldwide, royalty-free, sublicensable license to use it for providing and improving Services.
• Acknowledge that LoQal AI may retain anonymized, aggregated, or derived insights for research and AI model training (in compliance with privacy laws).

We do not claim ownership of your proprietary data unless explicitly stated.

7. Third-Party Services & Links

• Our Services may integrate with payment gateways, SMS/voice APIs, AI tools, or marketplaces.
• Your use of third-party services is subject to their terms.
• LoQal AI is not responsible for their performance, content, or practices.

8. Disclaimer of Warranties

Services are provided “as is” and “as available”, without warranties of any kind. We do not guarantee:

• Uninterrupted, error-free, or secure services.
• Accuracy or completeness of outputs (AI predictions, reports, analytics).
• Compatibility with all devices or third-party systems.

9. Limitation of Liability

To the maximum extent permitted by law, LoQal AI shall not be liable for:

• Indirect, incidental, punitive, or consequential damages.
• Loss of data, revenue, or goodwill.
• Service interruptions, cyber incidents, or third-party actions.

Our aggregate liability is capped at the fees you paid to LoQal AI in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless LoQal AI, its officers, employees, and partners from claims arising out of:

• Your misuse of Services.
• Violation of these Terms.
• Infringement of third-party rights.

11. Data Protection & Transfers

• Your use of Services may involve cross-border data transfers.
• We comply with GDPR, Indian IT Act, and other global data protection frameworks.
• Data is stored and processed securely; refer to our Privacy Policy for details.

12. Availability of Services

We strive for 24/7 availability, but outages may occur due to:

• Maintenance, updates, upgrades.
• Technical failures beyond our control.
• Force majeure events (natural disasters, cyberattacks, regulations).

13. Discontinued Services

We reserve the right to discontinue Services (or features) at any time. If applicable, we will:

• Provide notice.
• Offer migration options or refunds (as per Refund Policy).

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India (Delhi jurisdiction). Any disputes will be resolved exclusively in New Delhi courts.

15. Amendments

We may update these Terms periodically. Continued use after revisions constitutes acceptance.

16. Severability & Waiver

If any clause is held unenforceable, the remainder will continue in effect. Failure to enforce a right does not waive it.

17. No Use by Minors

Services are for users 18+ only. If under 18, access is prohibited.
